The terms for suppliers, contractors and hosts who sell through the Marketplace and are paid through Stripe.

1.About these terms

These terms apply to every Provider who lists, quotes, bids for or accepts work through the Marketplace, whether an individual, sole trader, business or organisation. They are in addition to the Marketplace Terms and the Stripe Payment Services Addendum.

2.Your role and ours

Blackwellen Limited (Propvora, we, us) operates the Propvora online marketplace and software platform (the Marketplace). Propvora is the marketplace operator. The people who supply the work, services or stays that are bought through the Marketplace (Providers) are independent of Propvora, and each order is a contract between the buyer and the Provider. Propvora is not the supplier of that work, is not the Provider's agent, and does not supervise or warrant it, except for the Payment Protection and other platform services described in our documents.

You are an independent business or individual. Nothing makes you an employee, worker, partner or agent of Propvora.

3.Getting paid: Stripe onboarding

Payment processing, the payment accounts used to receive money, transfers and payouts are provided by Stripe under Stripe's own terms. Propvora is not a bank, does not provide an account or wallet to anyone, and does not hold money as a deposit-taker. Where this document says that a payment is funded, awaiting release or released, it describes the status of a payment made through Stripe and the contractual release rules that apply to it.

To accept paid work you must complete Stripe's onboarding for a connected account, accept Stripe's Connected Account Agreement, and keep your details up to date. We never collect your identity or bank details ourselves for this purpose. You may create a profile and listings before onboarding, but you cannot accept paid Protected Payment work until your account can take payments.

If Stripe restricts your account or asks for more information, new paid work may be paused and you will see what action is required. We do not delete your listings or history.

4.What you authorise

By accepting these terms you authorise Propvora, acting through Stripe, to carry out the following and no other payment actions in relation to you:

  • collect the buyer's payment and our fees;
  • send transfer instructions to Stripe to pay your entitlement to your connected account when release conditions are met;
  • retain or collect the platform fees that apply to you under the fee schedule;
  • issue refunds to the buyer, in full or part, when the order terms, a settlement or a decision under the dispute policy require it;
  • reverse or recover all or part of a transfer where a refund, chargeback or settlement requires it, as far as the law and Stripe allow;
  • pause release while an issue is open;
  • share with Stripe the information it needs to provide its services and meet its obligations.

5.Payout timing

Release to your connected account and payout to your bank are two different steps. Payout timing is set by Stripe and your account settings. We do not promise a payout date. Optional faster payouts, where offered, carry a separate fee that is shown before you choose it. See the Provider Payout Terms.

6.Fees and earnings

You are shown the platform fee, any tax on that fee that applies, and your expected earnings before you accept an order, a quote or a bid. Fee changes take effect only after notice, and where a change is material you may be asked to accept the new schedule before you accept more paid work. See the Fees & Charges Schedule.

7.Reserves and holds

We will only hold back or delay a payment because of a reserve if a reserve is supported by Stripe's configuration for your account and has been separately approved and disclosed to you. Release can also be paused while an issue is open or where required to prevent fraud or to comply with law.

8.Your obligations

  • give accurate information about yourself, your services, your prices and your credentials, and update it when it changes;
  • hold the licences, registrations, qualifications and insurance that your work requires, and not describe them as verified unless we or Stripe have verified them;
  • supply work with reasonable skill and care and as described;
  • not offer prohibited services under the Acceptable Use and Prohibited Services policy;
  • not take buyers off the Marketplace to avoid fees or Payment Protection for orders found here;
  • keep buyer information confidential and use it only for the order.

9.Tax

You are responsible for your own tax, including income tax, VAT registration and returns, and issuing any invoices the law requires, unless Propvora has expressly agreed in writing to assume a particular obligation. Our fee schedule states whether tax is charged on our fees. Information we show about tax is not tax advice.

10.Suspension and termination

You can stop using the Marketplace at any time, but you must complete or cancel accepted orders properly. We may suspend or end your access for serious or repeated breach, fraud, a Stripe restriction or a legal requirement. Amounts properly due to you for released payments remain payable subject to refunds, reversals and the dispute process.

11.Liability and law

We do not exclude liability that cannot lawfully be excluded. Our liability to you is otherwise limited as set out in the Platform Terms.

This document is governed by the law of England and Wales and the courts of England and Wales have non-exclusive jurisdiction, but if you are a consumer living in Scotland, Wales or Northern Ireland you may also bring proceedings in the courts of that nation, and the mandatory consumer law of the place where you live continues to apply.
