DRAFT — LEGAL REVIEW REQUIRED

This document is a draft that has not been approved by legal counsel and is not yet in force. It is published here for review and may change.

Key points

  • Propvora operates the Marketplace. Providers supply the work and buyers contract with them.
  • Seller status (individual, sole trader, business or organisation) comes from verified information, not assumption.
  • Verified credentials are labelled separately from information a Provider has declared themselves.
  • Rent, deposits and holding deposits never go through the Marketplace.
  • The order's own terms come first, then these terms.

This summary is for convenience only. The full text below is what governs.

1.Scope

These Marketplace Terms govern orders placed through the Propvora Marketplace for supplier jobs, quotes and bids, milestone work, marketplace services and short-stay bookings. Rent, tenancy deposits and holding deposits are never handled through the Marketplace or covered by Payment Protection. Propvora does not receive, hold or route them. Subscription, advertising and listing charges paid to Propvora for platform services are separate charges and are not Protected Payments.

2.Propvora's role

Blackwellen Limited (Propvora, we, us) operates the Propvora online marketplace and software platform (the Marketplace). Propvora is the marketplace operator. The people who supply the work, services or stays that are bought through the Marketplace (Providers) are independent of Propvora, and each order is a contract between the buyer and the Provider. Propvora is not the supplier of that work, is not the Provider's agent, and does not supervise or warrant it, except for the Payment Protection and other platform services described in our documents.

We provide the tools to list, find, quote, bid, order, communicate, pay through Stripe, track delivery and raise an issue. We do not select Providers for buyers, negotiate for either party, or guarantee that any Provider will be available, suitable or competent.

Buyers and Providers are the actors in every order. Propvora stores, displays and transmits their instructions and applies the contractual rules they have agreed to.

3.Seller status and verification

Each Provider has a seller status shown on their profile: individual, sole trader, business or organisation. Status is taken from information verified through Stripe or our own checks. Where it has not been verified we say so and do not assume it.

Profiles distinguish two kinds of information:

  • Verified credentials, such as an insurance certificate or an accreditation we have reviewed, shown with the check made and the date;
  • Self-declared information, such as years of experience or service area, which the Provider is responsible for.

A verified badge reflects only the specific check named. It is not an endorsement or a guarantee of workmanship.

4.Orders, quotes, bids and milestones

A buyer can request a quote, accept a fixed quote, award a bid, or book a listed service or stay. An order is formed when the buyer confirms it and the Provider's acceptance is recorded. Larger pieces of work may be split into milestones that are funded and released one at a time.

Before a buyer pays, the Marketplace shows the Provider's identity, the total price including mandatory fees, tax where it applies, how payment is taken, the cancellation and refund terms and the version of the documents that apply.

5.Payments

Payment processing, the payment accounts used to receive money, transfers and payouts are provided by Stripe under Stripe's own terms. Propvora is not a bank, does not provide an account or wallet to anyone, and does not hold money as a deposit-taker. Where this document says that a payment is funded, awaiting release or released, it describes the status of a payment made through Stripe and the contractual release rules that apply to it.

Payment is made through Stripe. Where an order is eligible, the Payment Protection Terms apply.

6.Fees

Mandatory buyer fees are included in the displayed price. Providers see their fee schedule and expected earnings before they accept work. See the Fees & Charges Schedule.

7.Provider responsibilities

Providers must hold the licences, registrations and insurance their work requires, supply the work with reasonable skill and care, give accurate information, and deal with their own tax. See the Provider Terms.

8.Buyer responsibilities

Buyers must give accurate information, provide access and decisions the Provider reasonably needs, review delivered work promptly, and pay through the Marketplace for orders found there. See the Buyer Terms.

9.Disputes

If something goes wrong, either party can open an issue under the Marketplace Dispute Resolution Policy. Raising an issue pauses release of a Protected Payment while it is considered.

10.Order of terms and changes

The order's own terms apply first, then these Marketplace Terms, then the Payment Protection Terms, the Fees & Charges Schedule and the Platform Terms, always subject to mandatory law. We will give notice of material changes and keep earlier versions available.

Nothing in this document limits or excludes any right you have under mandatory law that cannot lawfully be limited or excluded, including the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 where they apply to you.

This document is governed by the law of England and Wales and the courts of England and Wales have non-exclusive jurisdiction, but if you are a consumer living in Scotland, Wales or Northern Ireland you may also bring proceedings in the courts of that nation, and the mandatory consumer law of the place where you live continues to apply.
