1.About these terms
These Platform Terms (the Terms) apply to your use of Propvora's websites, apps and software (the Service). The Service is provided by Blackwellen Limited, company number 16482166, registered office 61 Bridge Street, Kington, Herefordshire, HR5 3DJ, United Kingdom. This draft replaces the section on suppliers and payments in the current terms and is intended to be read with the Marketplace Terms, the Payment Protection Terms and the Fees & Charges Schedule.
By creating an account, placing an order or accepting work you agree to these Terms. If you use the Service for an organisation, you confirm that you have authority to bind it.
2.Who does what
Blackwellen Limited (Propvora, we, us) operates the Propvora online marketplace and software platform (the Marketplace). Propvora is the marketplace operator. The people who supply the work, services or stays that are bought through the Marketplace (Providers) are independent of Propvora, and each order is a contract between the buyer and the Provider. Propvora is not the supplier of that work, is not the Provider's agent, and does not supervise or warrant it, except for the Payment Protection and other platform services described in our documents.
Payment processing, the payment accounts used to receive money, transfers and payouts are provided by Stripe under Stripe's own terms. Propvora is not a bank, does not provide an account or wallet to anyone, and does not hold money as a deposit-taker. Where this document says that a payment is funded, awaiting release or released, it describes the status of a payment made through Stripe and the contractual release rules that apply to it.
Propvora is a software platform and an advertising and ordering marketplace. We are not a letting agent, estate agent, property manager, payment institution or insurer. Users remain responsible for all legal registrations, checks and duties that apply to their own activities.
3.Order of terms
If documents conflict, they apply in this order, always subject to mandatory law:
- the specific terms of the order or contract between buyer and Provider;
- the Marketplace Terms;
- the Payment Protection Terms;
- the Fees & Charges Schedule;
- these Platform Terms.
4.Accounts and eligibility
You must give accurate information and keep your sign-in details secure. We may ask for evidence of identity or authority, and we may use Stripe to verify identity and business details for anyone who is paid through the Marketplace. Information that a user has declared themselves is shown as self-declared; information we or Stripe have checked is labelled with the check that was made and the date.
5.Marketplace orders and Payment Protection
Orders placed through the Marketplace may be eligible for Payment Protection as set out in the Payment Protection Terms. Payment Protection is a contractual workflow that controls when a Protected Payment is released. It is not insurance, it is not a bank guarantee, and it does not guarantee the quality, safety or outcome of any work beyond the terms of the order and the rights you have by law.
Rent, tenancy deposits and holding deposits are never handled through the Marketplace or covered by Payment Protection. Propvora does not receive, hold or route them. Subscription, advertising and listing charges paid to Propvora for platform services are separate charges and are not Protected Payments.
6.Fees
Fees for buyers and Providers are set out in the Fees & Charges Schedule and shown before you commit. Where a fee is mandatory and can be calculated in advance, it is included in the price displayed to buyers. We give notice of fee changes as described in that schedule.
7.Acceptable use
You must follow the Acceptable Use and Prohibited Services policy. We may suspend or restrict an account, a listing or a payment where we reasonably believe the policy has been breached, where Stripe requires it, or where the law requires it.
8.Disputes and complaints
Issues with an order are handled under the Marketplace Dispute Resolution Policy. Complaints about us are handled under the Complaints Policy. These processes do not remove your statutory rights or your rights against your card issuer.
9.Liability
We do not exclude liability for death or personal injury caused by our negligence, for fraud, or for anything that cannot lawfully be excluded. To the extent the law allows, and for business users, our liability for the Marketplace is limited as set out in the current Platform Terms, which continue to apply to the parts of the Service not covered by this update.
Nothing in this document limits or excludes any right you have under mandatory law that cannot lawfully be limited or excluded, including the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 where they apply to you.
10.Changes to these terms
We will give reasonable notice of material changes, and for changes that affect payments or fees we may require you to accept the new version before you continue to place or accept paid work. Previous versions remain available in the Legal Centre.
11.Law and contact
This document is governed by the law of England and Wales and the courts of England and Wales have non-exclusive jurisdiction, but if you are a consumer living in Scotland, Wales or Northern Ireland you may also bring proceedings in the courts of that nation, and the mandatory consumer law of the place where you live continues to apply.
